Pratic f.lli orioli Spa joins StellaGroup

Pratic has joined StellaGroup, one of Europe’s leading manufacturers of window closures, access systems and sun shading systems. Following the operation, Edi Orioli, formerly vice president of Pratic, becomes the CEO. He will have the task to lead, in close coordination with Didier Simon, president of StellaGroup and Frank Schädlich, the CEO, a great international strengthening.

Pratic, founded in 1960 by the Orioli’s family and headquartered in Fagagna (Udine), is a worldwide recognised leading brand for its refined design, never compromising on quality, and the cutting-edge technological solutions of its products, as well as for the high level of service offered to its professional installers. The company, employing 300 workers in the Fagagna site, is a typical made in Italy organization, relying on the excellence of its products and its industrial model, thanks also to a cutting-edge production site. In 2022 Pratic has achieved revenues for over 80 million euro – of which around 60% in Italy and 40% abroad.

StellaGroup, headquartered in Toulouse (France), is structured into three divisions – Window Closure, Access e Outdoor, and it has a widespread industrial base in France, Germany, the Netherlands and now in Italy too. In 2022 StellaGroup has achieved a turnover of more than 640 million euros by employing around 2.500 workers. Already a protagonist in the sector of closures in Europe, through this takeover StellaGroup aims at becoming one of the leaders in the outdoor sector and the sun shading systems, supporting Pratic development in foreign markets and enhancing it as a group-wide center of excellence for the Outdoor Division.

During the operation, Pratic and its shareholders were assisted by Antonio Dosa of Ad Equity, acting as financial advisor, the lawyers Massimiliano Campeis and Francesco Belletti of the law firm Campeis as legal advisors and by EY for the due diligence activities.

StellaGroup was assisted by Giorgio Castelli Villa of EY, as financial advisor, the lawyers Christophe Garaud and Mathilde Faure of Willkie Farr Gallagher, as legal advisors and by PwC for the due diligence activities.
